Thanks for choosing hireBGS. These terms govern your use of our development subscription services. Please review them before subscribing.
1. What We Offer
hireBGS delivers software development on a subscription basis. Your subscription gives you access to professional developers who build, maintain, and enhance your applications. Our work spans:
- Web and mobile app development
- API creation and third-party integrations
- Bug fixes and ongoing maintenance
- Code optimization and refactoring
- Technical guidance and consulting
2. Billing & Payments
We bill monthly, and subscriptions auto-renew unless you cancel. Cancel anytime—it takes effect at the end of your current cycle. Partial months aren't refunded.
Refunds are available only if no work has been completed during the current billing period. If you cancel within the first 7 days of your initial subscription and no deliverables have been provided, you're eligible for a full refund. After this period, or once any work has been delivered, no refunds will be issued.
Pricing may change with 30 days' notice to active subscribers.
3. How Tasks Work
Submit tasks through our project management platform. Standard tasks typically ship within 48 hours. Larger tasks may take longer—we'll let you know upfront. Timeframes are targets, not guarantees; delays alone don't qualify for refunds.
We work on one task at a time, in the order you submit them. Queue as many as you like, but only one moves forward at once per subscription.
4. Task Scope
A task should be a focused, clearly defined piece of work completable in roughly 48 hours. We may split larger requests into multiple tasks or ask clarifying questions before starting. Oversized tasks will be discussed to find the best approach.
5. Ownership & IP
Once delivered and paid for, you own the custom code we build for you. We don't retain rights to your work beyond what's needed to service your active subscription.
Your deliverables may include open-source libraries or third-party frameworks. Those components stay under their original licenses—you're responsible for compliance.
Any assets, content, or specs you provide must not violate others' intellectual property rights.
6. Confidentiality
Your code, data, and business information stay private. We won't share or sell your details to anyone—unless the law requires it or you give us permission.
We only feature work in our portfolio or marketing with your explicit approval, using non-identifying details.
7. Acceptable Use
Don't use our services for illegal purposes or to build software that:
- Breaks laws or regulations
- Infringes on others' intellectual property
- Intentionally includes malware or security exploits
- Enables fraud, harassment, or harm
We can refuse or end service for projects we consider inappropriate or unethical.
8. Warranties & Limits
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "WITH ALL FAULTS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DELIVERABLES WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.
We're not liable for indirect, incidental, or consequential damages from using our work. Our total liability for any claim is capped at the fees you paid during the month the issue occurred.
Some jurisdictions don't allow full warranty exclusions, so these limitations may not fully apply to you where prohibited by law.
9. Revisions
Revisions are included in your subscription. If the work doesn't match your specs, we'll fix it at no extra cost. Unlimited revisions while subscribed. Changes that go beyond the original requirements count as new tasks.
10. Pausing Your Subscription
Pause anytime—billing and tasks freeze until you resume. Unused days carry over. Submit pause requests before your next billing date.
Limitations: Maximum of two pauses per calendar year, with a cumulative maximum of 90 days paused per year. Pauses cannot be initiated within the first 14 days of a new subscription. Your subscription automatically resumes at the end of your pause period unless canceled.
11. Ending the Agreement
Either side can end this agreement anytime. If we cancel your subscription, you'll receive a prorated refund for remaining days. When the agreement ends:
- In-progress work ships within 5 business days
- You keep all completed deliverables
- Platform access expires within 30 days
- Current billing period isn't refunded (unless we initiated cancellation)
12. Communication
We communicate via our project platform and email. Expect responses within one business day.
13. Updates to These Terms
We may revise these terms periodically. Significant changes get emailed to you at least 14 days ahead. Continuing to use our services means you accept the updated terms.
14. Mutual Indemnification
Our commitment: We'll defend you against third-party claims that our services (as delivered) infringe their intellectual property rights, provided the claim doesn't arise from materials or specifications you provided.
Your commitment: You agree to protect hireBGS and our team from claims, damages, or legal costs resulting from: (a) content, data, or materials you provide; (b) your use of deliverables in violation of these terms; (c) materials you provide that infringe others' rights; or (d) your violation of any laws.
Neither party is obligated to indemnify the other for claims arising from gross negligence, willful misconduct, or breach of these terms by the indemnified party.
15. Unforeseeable Events
Neither of us is liable for delays caused by events outside our control—natural disasters, outages, pandemics, government actions, and similar circumstances. Timelines extend accordingly.
16. Transferring Rights
You can't transfer your subscription without our written consent. We may transfer our obligations to a successor company in a merger or acquisition.
17. Partial Invalidity
If any part of these terms is found unenforceable, the rest remains in effect. We'll adjust the invalid portion minimally to make it work while keeping its intent.
18. Waiver
Not enforcing a right doesn't waive it. Waivers require written approval from hireBGS.
19. Complete Agreement
These terms are the full agreement between us, replacing any prior discussions or agreements.
20. Legal Jurisdiction
Delaware law governs these terms, excluding conflict-of-law rules.
Disputes start with good-faith negotiation. Unresolved after 30 days? Binding arbitration through the AAA under Commercial Arbitration Rules—held in Delaware or remotely.
Costs: Filing fees are split equally unless applicable law requires otherwise. Each side covers their own attorneys' fees unless the arbitrator awards fees to the prevailing party. For small businesses (fewer than 25 employees and under $5 million annual revenue), hireBGS covers arbitration costs exceeding $250.
Either party may seek court injunctions for IP or confidentiality violations. All claims must be brought individually—not as part of any class or representative action.
21. Data & Privacy
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
